Acceptance of Terms

Seat Theory is a membership-based education and marketplace platform that connects sports organizations, brands, and independent operators. It is operated by FivEye, LLC, doing business as Seat Theory (“Seat Theory,” the “Company,” “we,” “our,” or “us”). By accessing or using the Seat Theory website, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree to these terms, please do not use our services.

Use of Services

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use our services in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to any portion of our services
• Interfere with the proper working of the website
• Engage in any conduct that restricts others' use of the services
• Use our services to transmit any harmful or malicious content

Intellectual Property

All content on this website, including text, graphics, logos, images, and software, is the property of Seat Theory or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

User Content

When you submit content to us (such as applications or inquiries), you grant Seat Theory a non-exclusive, worldwide, royalty-free license to use, reproduce, and display that content in connection with our services.

Memberships & Billing

Seat Theory offers paid annual memberships. By purchasing a membership, you authorize Seat Theory — through our payment processor, Stripe — to charge the applicable fee to your payment method.

• Annual terms & renewals. Memberships are billed annually and renew automatically each year at the then-current rate unless you cancel before the renewal date.
• Cancellations. You may cancel at any time. Cancellation stops your next renewal; your access continues through the end of the current paid term.
• Refunds. Refund requests may be submitted within 7 days of purchase and will be reviewed on a case-by-case basis. After access to member features has been granted, membership fees are generally non-refundable.
• Billing questions. Email hello@seattheory.com and we'll help.

Membership Expectations

Membership provides access to certain Seat Theory features, resources, opportunities, and services, which may evolve over time as the platform grows. Membership currently includes access to:

• opportunities
• resources
• events
• community
• educational materials
• platform features

Membership does not guarantee, and Seat Theory makes no promise of:

• jobs
• interviews
• sponsorships
• partnerships
• revenue
• placements
• business outcomes

Member Conduct

To protect the network and the people in it, you agree not to:

• scrape, crawl, or harvest data from the platform, opportunity feed, or member directory;
• share, sell, or transfer your account or login credentials;
• engage in unauthorized solicitation of members, organizations, or brands;
• intentionally use confidential information obtained through Seat Theory to circumvent the Platform or avoid applicable platform fees;
• misuse, redistribute, or publish another member's information; or
• misrepresent your identity, role, or affiliation.

Violations may result in suspension or termination of your membership without refund.

Disclaimer of Warranties

Our services are provided "as is" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or secure.

Limitation of Liability

To the fullest extent permitted by law, Seat Theory shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services.

Indemnification

You agree to indemnify and hold harmless Seat Theory and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services or violation of these Terms.

Modifications

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

These Terms govern everyone. Depending on how you use Seat Theory, additional role-specific agreements and policies also apply and are incorporated into these Terms by reference:

• Organization Agreement — for Organizations listing inventory
• Commission & Payment Terms — how commission is earned and paid
• Relationship Attribution Policy — how deal credit is decided
• Commercial Discovery Terms — recommendations, projections, and the Commercial Blueprint™ process

Capitalized terms used across these documents have the meanings given in our Definitions.

No Fiduciary Relationship

Seat Theory acts solely as a platform facilitator. Except as expressly agreed otherwise in writing, Seat Theory is not the broker, agent, advisor, representative, or fiduciary of any Member, and nothing in these Terms creates any such relationship.

Force Majeure

Seat Theory is not liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil unrest, government action, labor disputes, power or internet failures, or the failure of third-party services or providers.

Electronic Signatures & Communications

You agree that clicking to accept, checking a box, or otherwise indicating your assent electronically has the same legal effect as a handwritten signature, and that agreements, notices, and disclosures may be provided to you electronically. This is intended to satisfy the U.S. E-SIGN Act and the California Uniform Electronic Transactions Act. You may withdraw consent to electronic communications by contacting us, though doing so may prevent you from using certain features.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
